Section 1

Terms of Service

These Terms of Service ("Agreement") are entered into between Aporia Systems ("Aporia," "we," "us," or "our") and the individual or business entity ("Client," "you," or "your") who subscribes to our service. By completing checkout and subscribing to Aporia, you agree to be bound by the terms of this Agreement.

1. Service Provided

Aporia provides three subscription plans for local service businesses and contractors:

  • Essential, for businesses that want more Google reviews, includes Google Review Automation (a dedicated review-request form, automated SMS review requests, follow-up reminders, a dedicated business texting number, and ongoing review automation management).
  • Core, for businesses that want their Google presence managed, includes everything in Essential, plus Google Business Profile management (posts, photos, business details, optimization, and ongoing updates).
  • Complete, for businesses that need a website, includes everything in Core, plus a professional website, website hosting, ongoing maintenance, and website update requests.

Aporia reserves the right to modify or update the specifics of any plan with reasonable notice, provided the core offerings remain substantially as described.

2. Fees and Billing

Essential is $99 per month, Core is $198 per month, and Complete is $297 per month. Payments are processed automatically on a recurring monthly basis using the payment method provided during checkout through our payment processor, Stripe.

Aporia reserves the right to adjust pricing by providing at least 30 days' written notice before any changes take effect.

3. Subscription Term

The subscription is billed and renews on a month-to-month basis. There is no minimum commitment. The Client may cancel at any time in accordance with the Cancellation Policy.

4. Recurring Billing

By subscribing, the Client authorizes Aporia to charge the payment method on file on a recurring monthly basis. The Client is responsible for ensuring their payment information remains current and valid.

If a payment fails, Aporia will attempt to process the charge again. If payment cannot be collected, Aporia reserves the right to suspend or terminate the service until the outstanding balance is resolved.

5. Client Responsibilities

The Client agrees to:

  • Provide accurate and complete business information during onboarding
  • Respond to requests for feedback, approvals, or information in a timely manner
  • Grant Aporia necessary access to relevant accounts (such as the domain registrar or Google Business Profile) as requested
  • Ensure all content, images, and information provided does not infringe any third-party intellectual property rights
  • Maintain current and valid payment information

Delays caused by the Client's failure to fulfill these responsibilities may affect project timelines. Aporia is not liable for delays resulting from the Client's non-compliance.

6. Ownership

Upon cancellation and provided the Client's account is in good standing, the Client retains ownership of all original content, branding assets, logos, images, and business information they have provided.

Any website created specifically for the Client becomes the Client's property upon request after cancellation, excluding proprietary systems, templates, frameworks, and other intellectual property developed by Aporia.

Aporia retains ownership of its proprietary systems, templates, design frameworks, automation workflows, software configurations, and operational processes.

Third-party services (such as domain registration or hosting where applicable) may require their own separate subscriptions after cancellation.

7. Limitation of Liability

Aporia's services are provided in good faith and to the best of our ability. However, we do not guarantee specific business outcomes, including but not limited to revenue increases, search ranking positions, inquiry volumes, or review quantities.

To the maximum extent permitted by applicable law, Aporia shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of or inability to use our services.

Aporia's total liability to the Client for any claim shall not exceed the total amount paid by the Client in the month immediately preceding the event giving rise to the claim.

8. Confidentiality

Both parties agree to keep confidential any proprietary information, business data, or trade secrets shared during the course of the engagement. This obligation survives the termination of this Agreement.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts located in Quebec, Canada.

10. Amendments

Aporia reserves the right to update or modify this Agreement at any time. Clients will be notified of material changes via email. Continued use of the service following notification constitutes acceptance of the revised terms.

11. Entire Agreement

This Agreement constitutes the entire agreement between the Client and Aporia and supersedes all prior discussions, proposals, representations, or agreements relating to the service provided.

12. Force Majeure

Aporia shall not be liable for delays or failures in performance resulting from causes beyond its reasonable control, including but not limited to internet outages, natural disasters, government actions, labour disputes, third-party service interruptions, or other unforeseen events.

13. Independent Contractor

Nothing contained in this Agreement shall be construed as creating a partnership, joint venture, employment relationship, or agency relationship between the Client and Aporia. Aporia acts solely as an independent contractor.

14. Contact

If you have any questions regarding this Agreement, please contact us directly through the Aporia website.

Section 2

Cancellation Policy

This Cancellation Policy applies to all subscriptions to Aporia Systems. By subscribing, you acknowledge and agree to the terms set out below.

1. Month-to-Month Subscription

The subscription is month-to-month with no minimum commitment. The Client may cancel at any time by submitting a written cancellation request before the next billing date.

2. Recurring Billing

The Client's payment method will be charged automatically each month on the same billing date until a cancellation request is received and processed. Each plan is billed as a single recurring subscription. All services included in your selected plan are cancelled together when you cancel your subscription.

3. How to Cancel

To cancel, the Client must submit a written cancellation request before the start of the month they wish to cancel. Requests received after the new month has already begun will take effect at the end of that billing period, and the Client will be responsible for that month's payment.

Cancellation requests must be submitted in writing via email to the designated Aporia contact. Verbal or informal requests will not be accepted or processed.

Upon receipt of a valid cancellation request, the Client will retain access to all services through the end of the final paid billing period.

4. Contact

To submit a cancellation request or if you have any questions about this policy, please contact us directly through the Aporia website.

Section 3

Refund Policy

This Refund Policy applies to all payments made to Aporia Systems.

1. No Refunds

All payments made to Aporia are non-refundable. Given the nature of digital services, the time invested, and the resources allocated upon subscription, Aporia does not provide refunds for any portion of fees paid, whether partial or full, under any circumstances.

2. Cancellation Does Not Trigger a Refund

Cancelling your subscription stops future billing but does not entitle you to a refund of any amounts already paid, including for any portion of the current billing period.

3. Chargebacks and Disputes

Initiating a chargeback or payment dispute is not an acceptable substitute for cancelling through the process described in our Cancellation Policy. Chargebacks filed in violation of this policy will be contested, and Aporia reserves the right to terminate services immediately upon receipt of a chargeback.

If you have a concern about a charge, please contact us directly and we will work to resolve the matter in good faith.

4. Contact

If you have questions about this Refund Policy, please contact us through the Aporia website.
